1. About these terms
These terms govern your use of the Greybook platform at greybook.co.uk, operated by HomeHive Club Ltd (“we”, “us”, “Greybook”). By creating an account, you agree to these terms. If you do not agree, do not use the platform.
2. What Greybook is
Greybook is a verified network for off-market commercial property under £2M. We connect independent estate agents with pre-qualified investors. We are a matching and introduction service — we do not buy, sell, value, or manage property. We do not provide financial, investment, or legal advice.
We are not an estate agency. We do not act as an agent for either party. Any property transactions that result from introductions made through Greybook are conducted directly between the parties involved, at their own risk and under their own terms.
3. Eligibility and verification
To use Greybook, you must be at least 18 years old and provide accurate information during registration. All members must complete our verification process:
Investors must submit proof of funds demonstrating minimum £100,000 available capital. Acceptable documents include bank statements, broker letters, or agreements in principle.
Agents must provide a valid Companies House registration number for an active company and a current professional indemnity insurance certificate.
We reserve the right to reject or revoke verification at our discretion if we believe documents are fraudulent, outdated, or do not meet our standards. We may request updated documentation periodically.
4. Listing rules
Agents who list properties on Greybook agree to the following rules:
Off-market exclusivity: Properties listed on Greybook must not be simultaneously listed on Rightmove, Zoopla, or any other public property portal. This exclusivity is a core condition of the platform. We monitor public portals for potential violations.
Enforcement: If a dual-listing is identified, the following process applies. First offence: written warning with 48 hours to resolve. Second offence: listing removed, slot locked for 7 days. Third offence: account suspended pending review.
Slot limits: Standard agents may maintain up to 5 active listings at any time. Agent Pro subscribers may maintain up to 10. When a property is sold, withdrawn, or removed, the slot becomes available immediately.
Price ceiling: All listings must be for commercial properties with an asking price under £2,000,000.
Quality standards: All listings are reviewed before publication. Listings with incomplete information, misleading descriptions, or non-commercial properties may be rejected. We reserve the right to remove any listing that does not meet our standards.
Accuracy: Agents are responsible for the accuracy of their listing information. Greybook does not verify property details, valuations, yield estimates, or planning status. Investors should conduct their own due diligence.
5. Credits and payments
Credits are the platform's virtual currency, purchased in packs and spent on platform actions (unlocking listings, requesting introductions, boosting mandates).
Purchases: Credit packs are non-refundable once purchased. All prices are in GBP and inclusive of VAT where applicable.
Spending: When you spend credits to unlock a listing or agent profile, the information is provided as-is. Credits are not refunded if the information is not what you expected or if the other party does not respond.
Subscriptions: Pro subscriptions are billed monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period.
6. No commission
Greybook does not charge commission on any property transactions that result from introductions made through the platform. We do not track or monitor whether transactions complete. Revenue is captured at the point of introduction, not transaction.
7. Conduct
You agree not to:
Provide false or misleading information in your profile, verification documents, listings, or mandates. Use the platform to harass, spam, or send unsolicited communications to other members. Scrape, copy, or redistribute data from the platform. Circumvent the credit system or attempt to obtain member contact details without paying. Share your account credentials with others. Use the platform for any unlawful purpose.
We may suspend or terminate accounts that violate these terms, at our discretion and without refund of unused credits.
8. Disclaimers
Greybook is provided “as is”. We do not guarantee the accuracy of listing information, the solvency or reliability of any member, or the outcome of any introduction or transaction.
We are not liable for any loss arising from property transactions conducted between members, including but not limited to financial loss, loss of opportunity, or consequential damages. Members are responsible for conducting their own due diligence.
While we verify member credentials (proof of funds, Companies House registration, PI insurance), this verification is not a guarantee of a member's financial position, professional competence, or trustworthiness.
9. Intellectual property
The Greybook name, logo, and platform design are the property of HomeHive Club Ltd. Listing content (property descriptions, images) remains the property of the listing agent. By listing on Greybook, agents grant us a licence to display their listing content on the platform to verified members.
10. Changes to these terms
We may update these terms from time to time. We will notify you of material changes by email. Continued use of the platform after changes constitutes acceptance of the updated terms.
11. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
